Terms of Service
Effective date: [DATE] Operator: [CheckoutFlare LLC], [registered address] (“CheckoutFlare”, “we”, “us”) Contact: support@checkoutflare.com
These Terms govern your use of CheckoutFlare’s website, dashboard, hosted checkout and related services (the “Service”). By creating an account or using the Service you accept these Terms on behalf of yourself and the business you represent (“you”, the “Merchant”). If you don’t agree, don’t use the Service.
1. What CheckoutFlare is
1.1 CheckoutFlare is software. It lets you show your shoppers a branded checkout page in place of your online store’s standard checkout, take payment through your own Whop account, and record completed orders back in your Shopify store.
1.2 We are not a payment processor, bank, money transmitter or merchant of record. Payments are processed by Whop, Inc. and its financial partners (“Whop”) under Whop’s own terms. Shopper funds go to your own Whop balance; we never hold them and we never open a Whop account for you. Whop decides account approval, verification, reserves, holds, payout timing and dispute outcomes. We cannot change those decisions.
1.3 CheckoutFlare is independent. It is not affiliated with, endorsed by, or sponsored by Shopify Inc. or Whop, Inc. Their names are used only to describe compatibility.
2. Your account
2.1 You must be at least 18 years old and authorised to bind the business you register.
2.2 Give accurate information and keep it up to date. Keep your login details secure. You are responsible for everything done under your account, including by team members you invite.
2.3 Each store you connect is a separate “Store” with its own plan and settings. Each Store connects a Whop account. The same Whop account can be shared between Stores.
3. Connecting Shopify and Whop
3.1 Shopify. You connect your store by creating an app in your own Shopify developer dashboard and giving us its credentials. You authorise us to use them to read the store data we need and to create and update orders, customers, script tags and related records on your behalf. Do not rotate the credentials or remove the app while the Service is live, or orders may not be recorded. When we detect a broken connection we will send shoppers back to Shopify’s checkout and notify you.
3.2 Whop. You connect your own Whop account by creating an API key in Whop and pasting it into the dashboard. If you don’t have a Whop account, you open one yourself with Whop, and you complete Whop’s verification and accept Whop’s terms directly with Whop. We are not involved in that verification. You authorise us to use the key to create checkouts, the hidden one-time prices those checkouts need, charges (including one-click post-purchase offers that shoppers accept), refunds, shipment records and webhooks on that account. You are responsible for the key and for keeping it safe. You can disconnect in the dashboard or revoke the key in Whop at any time, which ends our access. We store the key in encrypted form.
3.3 Readiness Check. Before a Store can take live payments, it must reach the minimum score (currently 70 out of 100) on our automatic Store Readiness Check, which scans your public storefront for things like policies, a contact page, product pages and trust signals. No person reviews your store at this stage. A passing score isn’t an approval or a promise about what Whop or anyone else will decide. We may re-run the check, and we may suspend a Store under section 7. Until the requirements for going live are met, shoppers are sent to your store’s standard checkout.
3.4 You are responsible for complying with the terms of Shopify, Whop, the card networks and any other service you connect. You confirm you have chosen to use an alternative checkout for your store and understand that the operators of those platforms may take action under their own terms.
4. Plans
4.1 Free. You can build, preview and place test orders at no cost.
4.2 Paid plans. Live payments require a paid plan (Starter, Growth or Scale). Plans are billed monthly only. Current plans, monthly prices and usage percentages are listed on our pricing page and in your dashboard. A plan applies to one Store. Plan changes take effect immediately.
4.3 Each Store has its own plan. If you have several Stores on Growth or Scale, the Store with the highest plan price pays its plan price, Scale covers two more Stores, and each other Store on Growth or Scale costs the extra-store price shown on our pricing page instead of its plan price.
4.4 We may change prices or plan contents with at least 30 days’ notice by email or in the dashboard. If you don’t accept a change, cancel before it takes effect.
5. Fees and billing
5.1 Usage fee. For each live payment your shoppers make through CheckoutFlare (including shipping, accepted upsells and subscription renewals), we charge the usage percentage of your plan, calculated on the amount charged and before refunds. The first US$1,000 of sales on each Store carries no usage fee. Test orders carry no fee. Usage fees aren’t refunded when you refund a shopper. The fee is not taken from the shopper’s payment, which goes to your Whop balance. We bill it as described below.
5.2 Monthly billing. Before a Store goes live, and before you choose Growth or Scale, you must save a payment card with us using a secure payment form provided through our own Whop store. We don’t see your full card number. We keep one saved card and make one charge per CheckoutFlare login, covering all its Stores. On the 1st of each month we charge the previous month’s usage fees plus plan prices. The plan price for a Store is due for each calendar month it spends on Growth or Scale; if it was on more than one paid plan during that month, the highest plan price applies. The first month a Store moves to a paid plan is prorated by day from the switch. If the total for a month is under US$10, we don’t charge it and it rolls over to the following month.
5.3 Processing fees. Whop’s card-processing, payout, dispute and other fees are charged by Whop at the rates in your Whop account. They are separate from our fees and are not paid to us.
5.4 Other platform fees. Any fees Shopify or another provider charges you are your responsibility.
5.5 Taxes. Our fees exclude taxes. You are responsible for taxes due on our fees where applicable, and for calculating, collecting and remitting any taxes on your own sales.
5.6 Promotions. Promotional terms (such as fee-free sales up to a limit) apply only as described in the offer and may end at any time for new sign-ups.
5.7 Unpaid fees. If a charge is declined, we retry it automatically 3 days and 7 days later and email you. You can update your card and pay from your dashboard at any time. If the amount is still unpaid 14 days after the first decline, we pause live checkouts for your Stores, and shoppers are sent to each store’s standard checkout. Checkout resumes automatically once the amount is paid. We may also suspend the account for repeated non-payment.
6. Your responsibilities
6.1 You are solely responsible for your store, products, pricing, marketing, delivery promises, fulfilment, customer service, returns, refunds and chargebacks.
6.2 You must publish accurate refund, shipping, privacy and contact information, and the shopper-facing terms that apply to your sales. We display the links you provide at checkout.
6.3 You must clearly disclose any recurring charge, trial or subscription before the shopper pays, and honour cancellation requests.
6.4 You must have a lawful basis, and give any notices and obtain any consents required, for the shopper data processed through your checkout, including for marketing emails and tracking pixels you enable.
6.5 You are responsible for content you add to your checkout (including custom HTML, images, reviews and claims) and confirm it is accurate and that you have the rights to use it.
7. Acceptable use
7.1 CheckoutFlare is for legitimate businesses that deliver what they sell. Dropshipping stores are welcome when they ship real products with honest delivery times.
7.2 You may not use the Service to:
- sell anything illegal, counterfeit, infringing, or listed as prohibited or restricted by Whop or the card networks (for example unapproved supplements or pharmaceuticals, vapes, weapons, adult content);
- take payment for orders you don’t intend to ship, or use misleading delivery times, fake reviews, fake scarcity or deceptive marketing;
- run hidden or poorly disclosed subscriptions or charges;
- commit fraud, launder money, test stolen cards or evade a ban from another payment provider;
- interfere with, probe, overload or reverse-engineer the Service, or access other merchants’ data.
7.3 We don’t accept merchants whose payment or store accounts were closed elsewhere for fraud or serious policy breaches.
7.4 We may suspend live payments or your account immediately if we reasonably believe you have breached this section, present a risk to shoppers, Whop or us, or if Whop or a card network asks us to. Where the issue isn’t fraud or urgent risk, we will tell you what’s wrong and give you a reasonable chance to fix it.
8. Optional features
8.1 Post-purchase offers. When a shopper accepts a one-click offer, they authorise a further charge to the same payment method. You must present offers truthfully and with the final price shown.
8.2 AI features. AI tools may suggest designs, copy or settings. They can create drafts only; nothing goes live until you publish it. Review AI output before use. It may be inaccurate.
8.3 Integrations. If you enable third-party integrations (for example Meta, TikTok, Google, Klaviyo), you instruct us to send them the data that integration needs. Their use of that data is governed by their terms.
8.4 Referral program. Referral rewards are paid under the program terms shown in your dashboard. We may withhold rewards for self-referrals, fraud or spam.
9. Data
9.1 Our Privacy Policy explains how we handle personal data. For shopper data processed through your checkout, you are the controller and we act as your processor under the data processing terms in that policy.
9.2 You own your store data. During your subscription and for 30 days after cancellation you can export your orders and settings from the dashboard.
10. Intellectual property
10.1 We own the Service, its software, templates and design. We grant you a limited, non-exclusive, non-transferable right to use it for your business while your account is active.
10.2 You keep all rights to your content and brand. You allow us to host and display it to run the Service for you.
10.3 If you send us feedback, we may use it without obligation.
11. Availability and changes
11.1 We work to keep the Service available and to fall back to your standard checkout when we can’t, but the Service is provided “as is” and “as available” without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. We don’t guarantee it will be uninterrupted or error-free.
11.2 The Service depends on third parties (including Shopify, Whop and our hosting providers). We are not responsible for their outages, decisions or changes.
11.3 We may change or discontinue features. If we discontinue the Service entirely, we will give at least 30 days’ notice.
12. Limitation of liability
12.1 To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, sales, data or goodwill.
12.2 Our total liability for all claims relating to the Service is limited to the greater of (a) the fees you paid us in the 3 months before the event giving rise to the claim and (b) US$100.
12.3 These limits don’t apply to liability that cannot be limited by law, or to fraud or wilful misconduct.
13. Indemnity
You will defend and indemnify CheckoutFlare and its team against third-party claims, fines and costs (including reasonable legal fees) arising from your products, store, content, sales, marketing, data practices, or your breach of these Terms or of the terms of Shopify, Whop or the card networks.
14. Cancellation and termination
14.1 You can cancel at any time by switching your Stores to the Free plan in the dashboard. Amounts owed up to then are charged on the next 1st. See our Refund & Cancellation Policy.
14.2 We may terminate these Terms for your material breach that isn’t fixed within 10 days of notice, immediately for breaches of section 7, or with 30 days’ notice for any other reason.
14.3 On termination, live payments stop and shoppers are sent to your standard checkout. Fees already owed, and sections 5, 9.2, 10, 12, 13, 15 and 16, survive.
15. Disputes and governing law
15.1 These Terms are governed by the laws of [State of Wyoming, USA], without regard to conflict-of-law rules.
15.2 Before starting a claim, contact us at support@checkoutflare.com and give us 30 days to resolve it informally.
15.3 Any unresolved dispute will be brought exclusively in the state or federal courts located in [Wyoming], and both parties consent to that jurisdiction. Either party may bring a claim in small-claims court where eligible.
16. General
- Changes to these Terms. We will post changes here with a new effective date, and email you about material changes at least 15 days before they take effect (except changes required by law or to address security or fraud). Continuing to use the Service after that means you accept them.
- Entire agreement. These Terms, the Privacy Policy and the Refund & Cancellation Policy are the whole agreement between us about the Service.
- Assignment. You may not transfer your account without our consent. We may assign these Terms in a merger, acquisition or sale of assets.
- Force majeure. Neither party is responsible for delays caused by events beyond its reasonable control.
- Severability and waiver. If a provision is unenforceable, the rest remains in effect. Not enforcing a provision isn’t a waiver.
- Notices. We send notices to your account email. You send notices to support@checkoutflare.com or our postal address.
